Role Overview
You will:
Advise on employment issues arising from corporate transactions of varying size and complexity
Work closely with corporate colleagues to deliver coordinated advice to clients
Manage employment due diligence processes within data rooms, identifying risks and proposing practical solutions
Advise on TUPE, including risk allocation and associated documentation
Draft and negotiate employment warranties and indemnities within corporate documents
Draft service agreements, settlement agreements and wider employment documentation
Advise on self-employed contractor arrangements, employment status and IR35 risk
Support clients on disciplinary, grievance, redundancy and restructuring matters
Contribute to Employment Tribunal litigation and dispute resolution where required
Work with a specialist Recruitment and Workforce Solutions team on regulatory investigations and labour supply chain issues
The role offers scope to deepen expertise in recruitment regulatory work under the guidance of an established specialist team.
Candidate Profile
Likely to suit someone with 5+ years' PQE as a guide, with:
Strong experience providing employment support on corporate transactions
Confidence managing due diligence and advising on TUPE and transactional risk
Experience drafting and advising on employment warranties and indemnities
A solid grounding in general advisory employment work
Exposure to self-employed contractor issues and IR35 (advantageous but not essential)
A commercially minded, solution-focused approach
You should be comfortable working independently while collaborating closely with colleagues across corporate, commercial and litigation teams.
